1. Introduction

These Terms of Service ("Terms") govern your access to and use of the TradeGP platform ("TradeGP"), operated by Cornet Research Sdn. Bhd. ("CR").

TradeGP is provided in collaboration with licensed brokers, including SJ Securities Sdn. Bhd. ("SJ Securities"), strictly for the purpose of facilitating user access to trading services through a technology interface.

By registering for and using TradeGP, you irrevocably acknowledge and agree that:

• TradeGP operates solely as a technology platform and does not perform, and shall not be construed as performing, any regulated activity under applicable laws;
• SJ Securities, as a licensed broker, is solely and exclusively responsible for all regulated activities, including but not limited to account opening, order handling, trade execution, settlement, custody of funds and securities, and compliance with all applicable regulatory requirements;
• all orders, transactions, and investment decisions are made by you at your own risk and are executed by SJ Securities in accordance with its applicable terms and regulatory obligations;
• TradeGP has no authority to act on behalf of, bind, or represent SJ Securities in any capacity, and nothing in the use of TradeGP shall give rise to any agency, or fiduciary relationship between TradeGP and SJ Securities;
• SJ Securities shall not be liable for any loss, damage, cost, or expense arising from or in connection with:
  • the availability, functionality, performance, or use of the TradeGP platform;
  • any error, delay, interruption, or failure of the TradeGP system or any third-party system integrated with it; or
  • any reliance placed by you on information, tools, or features provided through TradeGP; and
• your legal and contractual relationship in respect of all trading and brokerage services is solely with SJ Securities and is governed by the terms and conditions of SJ Securities, which shall prevail in the event of any inconsistency with these Terms.

Your continued access to or use of TradeGP shall constitute your full and unconditional acceptance of these Terms.

2. TradeGP Platform

TradeGP is a technology platform designed to enhance user experience through a digital interface.

The platform provides, among others:

• portfolio monitoring tools;
• account overview functionalities;
• alerts and notification features; and
• access to membership features and ecosystem benefits.

TradeGP operates strictly as a technology facilitator and, for the avoidance of doubt:

• does not provide any form of investment advice, recommendation, research, or opinion;
• does not act as an agent, dealer, representative, or intermediary of any licensed broker, including SJ Securities Sdn. Bhd. ("SJ Securities"); and
• does not receive, hold, manage, or control any client monies or securities at any time.

All trading decisions are made solely and independently by the user at their own risk. Any orders or transactions initiated by the user are executed by SJ Securities in accordance with its applicable terms and regulatory obligations.

SJ Securities shall not be responsible or liable for:

• the availability, functionality, or performance of the TradeGP platform;
• any error, delay, interruption, or failure of the platform or any connected system; or
• any reliance placed by the user on information, tools, or features made available through TradeGP.

Nothing in the use of TradeGP shall be construed as creating any agency, partnership, joint venture, or fiduciary relationship between TradeGP and SJ Securities.

3. TradeGP Membership and Platform Ownership

Upon registration, you shall become a TradeGP Member ("Member"). TradeGP Membership is provided, administered, and owned exclusively by Cornet Research Sdn. Bhd. ("CR").

For the avoidance of doubt:

• TradeGP Membership is entirely separate from, and independent of, any brokerage relationship between you and SJ Securities Sdn. Bhd. ("SJ Securities");
• Membership confers only a limited, non-exclusive, revocable right to access and use the TradeGP platform, its features, tools, and ecosystem benefits, subject to these Terms; and
• Membership does not confer, and shall not be construed as conferring, any rights, entitlements, or access to trading, execution, brokerage, or any regulated services, all of which are provided solely by SJ Securities under its own terms and conditions.

All rights, title, and interest in and to TradeGP, including but not limited to:

• the platform;
• all systems, software, and applications;
• all intellectual property rights;
• user interface designs, content, and functionalities;

shall at all times remain vested solely in CR.

Nothing in these Terms or in the use of TradeGP shall operate to transfer, assign, or grant to any Member any ownership rights or proprietary interest in TradeGP or any part thereof.

SJ Securities shall have no responsibility or liability in respect of:

• TradeGP Membership;
• the availability, quality, or performance of platform features; or
• any rights or benefits associated with such Membership.

4. Trading Account and Brokerage Services

SJ Securities Sdn. Bhd. ("SJ Securities"), as a licensed broker, shall be solely and exclusively responsible for all regulated brokerage activities, including but not limited to:

• the opening, verification, and approval of trading accounts;
• the receipt, transmission, handling, and execution of all trade orders;
• the custody, safekeeping, and administration of all client monies and securities; and
• compliance with all applicable laws, regulatory requirements, and reporting obligations.

All client monies shall be held and maintained in designated trust accounts by SJ Securities in accordance with applicable regulatory requirements.

For the avoidance of doubt, TradeGP:

• does not receive, hold, control, or process any client trading funds or securities;
• does not participate in, influence, or interfere with the execution, routing, or handling of any trade orders; and
• does not provide, and shall not be construed as providing, any brokerage, dealing, custodial, or regulated services.

SJ Securities shall not be liable for any loss, damage, cost, or expense arising from or in connection with the use, performance, or availability of the TradeGP platform, or any act or omission of TradeGP.

5. Integrated Experience

TradeGP and SJ Securities Sdn. Bhd. ("SJ Securities") are separate and independent entities and operate in distinct capacities.

TradeGP provides:

• a technology interface;
• platform experience and functionalities; and
• user engagement tools and related features.

SJ Securities, as a licensed broker, provides all regulated brokerage services, including but not limited to account management, order handling, trade execution, custody, and compliance with applicable laws and regulatory requirements.

For the avoidance of doubt:

• nothing in these Terms, nor in the use of the TradeGP platform, shall be construed as creating any agency, partnership, joint venture, or fiduciary relationship between TradeGP and SJ Securities;
• TradeGP is not appointed as, and shall not be deemed to be, an agent, representative, or intermediary of SJ Securities for any purpose; and
• TradeGP has no authority to act on behalf of, bind, or represent SJ Securities in any manner whatsoever.

Users expressly acknowledge and agree that:

• all trading and brokerage relationships exist solely between the user and SJ Securities; and
• SJ Securities shall not be liable for any act, omission, representation, or service provided by TradeGP.

6. Membership Plans and Payment

All membership fees are payable solely in consideration for access to the TradeGP platform features, tools, and ecosystem benefits provided by Cornet Research Sdn. Bhd. ("CR").

For the avoidance of doubt:

• such membership fees do not constitute brokerage fees, commissions, or charges for any regulated services;
• such fees do not influence, affect, or provide any preferential treatment in respect of trade execution, pricing, order routing, or order priority by SJ Securities Sdn. Bhd. ("SJ Securities"); and
• payment of such fees does not guarantee any trading outcome, performance, or profitability.

Payments may, for administrative convenience only, be processed through SJ Securities and/or its authorised representatives. Notwithstanding the foregoing, SJ Securities acts solely as a collection or facilitation agent for CR in respect of such payments and does not assume any responsibility or liability in relation thereto.

SJ Securities shall have no liability whatsoever in respect of:

• the provision, availability, quality, or performance of TradeGP Membership services;
• any platform features, tools, or ecosystem benefits provided by TradeGP; or
• any dispute arising in connection with membership fees or services.

Upon successful payment, the user shall be entitled to the corresponding TradeGP Membership benefits, which are provided solely by CR and subject to these Terms.

7. Market Data and Information Source

Market data, price information, and other content displayed on the TradeGP platform are sourced from licensed brokers, including SJ Securities Sdn. Bhd. ("SJ Securities"), and/or their authorised third-party data vendors.

For the avoidance of doubt:

• TradeGP does not independently source, verify, validate, or guarantee the accuracy, completeness, reliability, or timeliness of any such market data or information;
• all market data and information are provided on an "as is" and "as available" basis for informational purposes only and shall not be construed as investment advice, recommendation, or solicitation; and
• neither TradeGP nor SJ Securities shall be liable for any loss, damage, cost, or expense arising from or in connection with any reliance placed by the user on such market data or information.

Users expressly acknowledge and agree that:

• any use of or reliance on market data is at their own risk; and
• all official books, records, and transactional data in respect of trading activities are maintained solely by SJ Securities, and shall prevail in the event of any discrepancy.

8. Data Usage and Consent

Cornet Research Sdn. Bhd. ("CR") shall collect, use, process, and retain personal data in accordance with all applicable laws and regulations, including the Personal Data Protection Act 2010.

Personal data collected shall be limited to what is reasonably necessary for:

• the operation and maintenance of the TradeGP platform;
• administration and management of TradeGP Membership; and
• system improvement, analytics, security, and performance monitoring.

CR shall not:

• sell, lease, or otherwise commercially exploit user personal data; or
• use personal data for the purpose of providing trading recommendations, behavioural profiling, or targeted trading-related activities without the user's prior express consent.

Users acknowledge and agree that:

• system usage data, access logs, and activity records may be monitored, recorded, and analysed for purposes of security, audit, fraud detection, risk management, and regulatory compliance; and
• personal data and relevant information may be disclosed or shared with SJ Securities Sdn. Bhd. ("SJ Securities") where necessary for operational, compliance, regulatory, audit, or reporting purposes, and SJ Securities shall not be liable for any data processed by CR outside the scope of such purposes.

Nothing in these Terms shall impose any obligation on SJ Securities in respect of the collection, use, or processing of personal data undertaken by CR, and SJ Securities shall not be responsible or liable for any act or omission of CR in relation thereto.

9. Communications

By registering for and using TradeGP, users hereby consent to receive communications from Cornet Research Sdn. Bhd. ("CR") relating to:

• operational matters, including account and platform administration;
• platform updates, enhancements, and changes to features; and
• service-related notifications, including security alerts and system notices.

Such communications may be delivered via electronic means, including but not limited to email, in-app notifications, or other digital channels.

Users may, at any time, opt out of receiving marketing or promotional communications. However, users acknowledge that they may not opt out of communications that are necessary for operational, security, legal, or regulatory purposes.

For the avoidance of doubt, SJ Securities Sdn. Bhd. shall not be responsible or liable for any communications issued by CR in relation to the TradeGP platform or its services.

10. Risk Disclosure

Trading in securities involves significant risks, including the potential loss of all or part of the capital invested.

For the avoidance of doubt, TradeGP:

• does not guarantee any profits, returns, or outcomes;
• does not provide any form of investment advice, recommendation, or research; and
• does not endorse, promote, or validate any trading strategy.

All tools, features, data, and information made available on the TradeGP platform are provided strictly for informational purposes only and shall not be construed as investment advice or a recommendation to transact.

Users expressly acknowledge and agree that:

• all investment and trading decisions are made solely at their own discretion and risk; and
• they are solely responsible for assessing the suitability of any investment, taking into account their own financial circumstances, objectives, and risk tolerance.

SJ Securities Sdn. Bhd. shall not be liable for any loss, damage, cost, or expense arising from or in connection with any investment or trading decision made by the user.

11. Limitation of Liability

To the fullest extent permitted by law:

TradeGP shall not be liable for:

• trading losses or investment outcomes;
• trade execution errors or delays;
• actions or omissions of SJ Securities;
• market data inaccuracies;
• system failures outside its reasonable control.

SJ Securities shall not be liable for:

• TradeGP platform performance;
• membership services;
• third-party integrations or tools.

TradeGP's liability, where applicable, shall be limited to:

• direct losses arising solely from its own proven misconduct or gross negligence

11A. System Availability

To the fullest extent permitted by law:

• TradeGP shall not be liable for any loss, damage, cost, or expense arising from or in connection with:
  • any trading losses or investment outcomes;
  • any error, delay, rejection, or failure in the execution or transmission of trade orders;
  • any act or omission of SJ Securities Sdn. Bhd. ("SJ Securities");
  • any inaccuracy, incompleteness, or delay in market data or information; or
  • any system failure, interruption, or disruption beyond its reasonable control, including failures of third-party systems or infrastructure.
• SJ Securities shall not be liable for any loss, damage, cost, or expense arising from or in connection with:
  • the availability, functionality, or performance of the TradeGP platform;
  • any TradeGP Membership services or features; or
  • any third-party systems, integrations, tools, or services made accessible through TradeGP.
• Without prejudice to the foregoing, to the extent that liability cannot be excluded, TradeGP's liability shall be limited strictly to direct losses arising solely from its own proven misconduct or gross negligence, and shall exclude any indirect, consequential, incidental, or special damages, including but not limited to loss of profits, loss of opportunity, or loss of anticipated savings.

12. User Responsibilities and Conduct

Users hereby agree to:

• use the TradeGP platform strictly in accordance with all applicable laws and regulations;
• not misuse, manipulate, interfere with, or exploit any system features, functionalities, or controls of the platform; and
• maintain the confidentiality and security of their login credentials, including usernames, passwords, and any authentication information.

Users shall be solely and fully responsible for:

• all activities, instructions, and transactions conducted through their account, whether authorised or otherwise; and
• any loss, damage, cost, or expense arising from or in connection with any unauthorised access or use of their account resulting from their negligence, failure to safeguard credentials, or breach of these Terms.

TradeGP reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate access to the platform where it reasonably suspects any misuse, unauthorised activity, or breach of these Terms.

For the avoidance of doubt, SJ Securities Sdn. Bhd. shall not be liable for any loss arising from the user's failure to comply with the obligations set out in this Clause.

13. Termination

Cornet Research Sdn. Bhd. ("CR") reserves the right, at its sole discretion, to suspend, restrict, or terminate a user's access to the TradeGP platform:

• in the event of any breach of these Terms; or
• where it is reasonably necessary for security, regulatory, legal, or operational purposes.

Such suspension, restriction, or termination may be effected immediately and without prior notice where CR deems it necessary to do so.

Users acknowledge and agree that:

• access to the TradeGP platform may be modified, suspended, or discontinued at any time, whether temporarily or permanently; and
• any such action shall not affect the user's separate brokerage account and relationship with SJ Securities Sdn. Bhd. ("SJ Securities"), which shall continue to be governed solely by the terms and conditions of SJ Securities.

For the avoidance of doubt, SJ Securities shall not be liable for any loss, damage, cost, or expense arising from or in connection with any suspension, restriction, or termination of access to the TradeGP platform by CR.

14. Indemnity

Users agree to indemnify, defend, and hold harmless Cornet Research Sdn. Bhd. ("CR") (operating TradeGP), SJ Securities Sdn. Bhd. ("SJ Securities"), and each of their respective directors, officers, employees, agents, and representatives (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, costs, and expenses (including legal fees on a full indemnity basis) arising out of or in connection with:

• any misuse, improper use, or unauthorised use of the TradeGP platform;
• any breach by the user of these Terms;
• any reliance by the user on the platform, including any tools, data, or information made available through TradeGP; and
• any investment or trading decisions made by the user.

This indemnity shall apply regardless of whether such claims arise in contract, tort (including negligence), or otherwise, and shall survive the suspension or termination of the user's access to the TradeGP platform.

15. Marketing and Representation

TradeGP shall not be construed or interpreted as:

• a licensed broker or provider of any regulated brokerage services; or
• a provider of any guarantee, assurance, or representation of trading results, returns, or profitability.

Users acknowledge and agree that:

• any reliance on marketing, promotional materials, or communications relating to TradeGP is made entirely at their own risk; and
• no representation, warranty, or assurance is made or implied as to any profit, success, or outcome in relation to trading or investment activities.

For the avoidance of doubt, SJ Securities Sdn. Bhd. shall not be liable for any representation or statement made by TradeGP in any marketing or promotional materials.

16. Amendments

These Terms may be amended, revised, or updated by Cornet Research Sdn. Bhd. ("CR") at any time at its sole discretion.

Any such amendments shall take effect upon publication on the TradeGP platform or upon such other notification as CR may determine.

Your continued access to or use of the TradeGP platform following such amendments shall constitute your full and unconditional acceptance of the revised Term

17. Force Majeure

Neither TradeGP nor SJ Securities Sdn. Bhd. ("SJ Securities") shall be liable for any failure, delay, or interruption in the performance of their respective obligations under these Terms arising from events beyond their reasonable control, including but not limited to:

• system failures, network outages, cyber incidents, or technological disruptions;
• acts of God, natural disasters, epidemics, pandemics, or public health emergencies;
• any action, directive, or restriction imposed by any governmental, regulatory, or supervisory authority; or
• failures, delays, or disruptions attributable to third-party service providers, infrastructure, or utilities.

During the continuance of any such event, the affected obligations shall be suspended for the duration of the disruption, and neither TradeGP nor SJ Securities shall be deemed to be in breach of these Terms by reason of such suspension.

18. Disclaimer of Warranties

The TradeGP platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, TradeGP disclaims all representations and warranties, whether express, implied, or statutory, including but not limited to:

• any warranty of fitness for a particular purpose;
• any warranty as to the accuracy, completeness, reliability, or timeliness of any information or content; and
• any warranty that the platform will be uninterrupted, secure, or free from errors, defects, or delays.

All such warranties are expressly excluded and disclaimed to the maximum extent permitted under applicable law.

19. Electronic Instructions and User Actions

All instructions, actions, and transactions effected through the TradeGP platform using the user's credentials shall be deemed to have been duly authorised by the user and shall be valid, binding, and enforceable against the user.

Neither TradeGP nor SJ Securities Sdn. Bhd. ("SJ Securities") shall be liable for any loss, damage, cost, or expense arising from or in connection with:

• any unauthorised access to or use of the user's account resulting from the user's negligence, including failure to safeguard login credentials;
• any error, omission, or inaccuracy in the user's instructions or input; or
• the user's failure to review, confirm, or verify the accuracy and completeness of any transaction or instruction prior to submission.

20. Priority of Brokerage Terms

In the event of any inconsistency, conflict, or discrepancy between these Terms and the terms and conditions governing the user's account with SJ Securities Sdn. Bhd. ("SJ Securities"), the terms and conditions of SJ Securities shall prevail to the extent of such inconsistency, in relation to all regulated activities, including but not limited to trading, execution, custody, and any other brokerage services.

21. Assumption of Risk

Users acknowledge and accept full responsibility for all risks associated with trading, including but not limited to market volatility, price fluctuations, system delays, latency, and execution risks.

Users further agree that their access to and use of the TradeGP platform is undertaken entirely at their own risk.

22. No Reliance

Users acknowledge and agree that they have not relied on any representation, statement, communication, or information provided by TradeGP in making any trading or investment decision.

All trading and investment decisions are made independently by the user at their own discretion and risk.

23. Limitation on Claims

To the fullest extent permitted by law, any claim, dispute, or proceeding arising out of or in connection with the use of the TradeGP platform shall be brought by the user solely in their individual capacity and not as a plaintiff or member of any purported class, representative, or collective action.

Users expressly agree not to commence, participate in, or be a party to any class action, representative action, or collective proceeding against TradeGP, SJ Securities Sdn. Bhd., or any of their respective affiliates, directors, officers, employees, or agents.

24. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia.

Any dispute, controversy, or claim arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Malaysia.
